Terms of Service

You accept these Terms by ticking the acceptance box when you first use FenceFlow, or by signing an order form that references them. If you accept on behalf of a company, you confirm that you are at least 18 and have authority to bind it. We record when you accepted and which version. If an order form and these Terms conflict, the order form controls.

FenceFlow provides estimating, drawing, scheduling, job management, customer-portal, e-signature and invoicing software for fence contractors. It is for business use in the United States. Accounts are created by invitation.

You are responsible for activity under your company's accounts and for inviting and removing your users. Keep the email accounts used to sign in secure — sign-in links sent to them grant access. Tell us promptly at support@idea-engine.studio if you suspect unauthorized access.

You agree not to:

• access or try to access another company's data, or probe, scrape, overload, reverse engineer or disrupt the service;
• send email or text messages through FenceFlow to anyone without the consent the law requires (including under the TCPA and CAN-SPAM), or keep texting someone who opted out;
• enter personal information you have no lawful basis to collect, or upload unlawful or infringing content;
• use FenceFlow in violation of contractor-licensing, home-improvement, consumer-protection or other laws that apply to your business; or
• resell or sublicense access without our written agreement.

You keep ownership of the content you and your customers put into FenceFlow — customer records, drawings, photos, documents, estimates, your material catalog and prices. You grant Idea Engine LLC a limited, non-exclusive licence to host, copy, process, transmit and display that content only to provide, secure and support the service for you. We do not use your content to train AI models. Our handling of personal information you enter about your customers is governed by our Data Processing Addendum, which forms part of these Terms, and our Privacy Policy.

Idea Engine LLC owns the FenceFlow software, its design, pricing formulas, starter templates and documentation. If you send us feedback, we may use it without obligation.

Idea Engine LLC is not a party to any agreement between you and your customers. Estimates, contract terms, change orders and invoices you create in FenceFlow are your documents. You are solely responsible for their terms and for every state-required notice, disclosure, licence number, warranty, permit, lien notice (for example Wis. Stat. § 779.02(2)), cancellation right (for example the FTC Cooling-Off Rule, 16 CFR Part 429, and state home-solicitation rules), tax and consumer-protection requirement that applies to your work. The starter contract terms, state notices and e-sign disclosure in FenceFlow are samples provided for convenience, not legal advice; have your own attorney review them before use.

You are responsible for obtaining any consent your customers must give before you email or text them through FenceFlow, and for honouring opt-outs.

Drawings and footage are based on aerial and satellite imagery, which can be offset, out of date or low resolution. Measurements, material quantities and prices calculated by FenceFlow are estimates only; verify them on site and check local costs and code requirements before quoting a customer. You are responsible for the prices you quote.

FenceFlow uses Google Maps Platform. By using the maps features you agree to the Google Maps/Google Earth Additional Terms of Service and acknowledge the Google Privacy Policy.

FenceFlow lets your customers sign estimates electronically after they consent to use electronic records. We keep a signed PDF and an audit record (name, time, IP address, device, consent and document fingerprints). Whether a particular signed estimate is enforceable depends on the facts and on the laws that apply to your contract; we do not guarantee enforceability.

FenceFlow has no in-app billing today. Fees, the subscription term, billing frequency and any renewal terms are set out in the order form or invoice we agree with you. Unless the order form says otherwise, invoices are due within 30 days, fees exclude taxes (you pay applicable sales and use taxes, other than taxes on our income), and we may change fees for a renewal term with at least 30 days' written notice.

If your order form renews automatically, we will state the renewal clearly in it and, where the law requires (for example Wis. Stat. § 134.49 for business service contracts), send you a written reminder before the deadline to cancel.

FenceFlow does not process payments from your customers. Payments you record in FenceFlow are for your own bookkeeping.

You may cancel at any time by emailing support@idea-engine.studio; cancellation takes effect at the end of the current paid term. Refunds are described in our Refund Policy.

Either party may end this agreement as the order form allows, or for the other party's material breach not cured within 30 days of notice. We may suspend access immediately if needed to prevent harm to the service, other customers, or people you message. After termination you can export your data for 30 days, after which we delete it as described in the Privacy Policy, except signed contract records you ask us to retain.

The service is provided "as is" and "as available". To the fullest extent permitted by law, Idea Engine LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the service will be uninterrupted, error-free, or that measurements, calculations, templates or notices are accurate, complete or legally sufficient for your jurisdiction.

To the fullest extent permitted by law, neither party is liable for any indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or data, and Idea Engine LLC's total liability arising out of or relating to these terms or the service is limited to the fees you paid us for the service in the 12 months before the event giving rise to the claim (or US $100 if you paid nothing). These limits do not apply to your payment obligations or your indemnity obligations.

You will defend and indemnify Idea Engine LLC against third-party claims arising from your contracts and dealings with your customers, the content you enter, the emails and text messages you send through FenceFlow (including TCPA and CAN-SPAM claims), your licensing and permits, and your breach of these Terms or the law.

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law rules. Each party agrees to the exclusive jurisdiction of the state or federal courts located in the State of Wisconsin.

We may update these Terms. We will post the new version here with a new date and, for material changes, notify company owners and ask users to accept the new version in the app. Changes do not apply retroactively.

These Terms, the Data Processing Addendum and any order form are the entire agreement about FenceFlow. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, except with a sale of your business. Notices to us go to the contact details below.
